Acceptance of terms
Welcome to Gajee.co. These Terms of Service (the "Terms") govern your access to and use of the Gajee.co HR SaaS platform, website, mobile applications, and related services (collectively, the "Service") provided by RiverLens Sdn Bhd (Company No. 202401046847 / 1592693-W), a company registered in Malaysia and operating the Gajee.co platform ("Gajee.co", "we", "us", or "our").
By creating an account, accessing, or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of a company or other entity, you represent that you have the authority to bind that entity to these Terms, in which case "you" refers to that entity.
If you do not agree to these Terms, you may not access or use the Service.
Definitions
- "Account" — the registered access credentials and workspace created for your organisation.
- "Customer" or "you" — the company or individual that has registered for and uses the Service.
- "Authorised User" — any employee, contractor, or representative of the Customer granted access to the Account.
- "Customer Data" — all data, content, and information uploaded, submitted, or generated by Customer or Authorised Users through the Service, including employee records, payroll information, and communications.
- "Subscription" — the paid plan that determines the features, employee count, and support level available to your Account.
Your account
Account registration
You must provide accurate, complete, and current information when creating an account. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your Account.
Account security
You must notify us immediately of any unauthorised access or use of your Account. We strongly recommend using strong, unique passwords. Gajee.co is not liable for losses caused by unauthorised use of your Account if you fail to follow reasonable security practices.
Authorised Users
You are responsible for the actions of all Authorised Users on your Account. You must ensure that Authorised Users comply with these Terms and use the Service only for legitimate business purposes.
Subscriptions & billing
Plans and pricing
The Service is offered through subscription plans (Starter, Growth, Business, and Enterprise) with features and pricing as listed on our Pricing page. We may update pricing from time to time; existing subscribers will receive at least 30 days' notice of any price increase.
Billing cycle
Paid subscriptions are billed monthly or annually in advance, depending on the plan you select. Annual plans receive a 20% discount compared to monthly billing. All fees are quoted in Malaysian Ringgit (MYR) and are exclusive of any applicable taxes (e.g. SST), which will be added at the prevailing rate.
Payment
You authorise us to charge your designated payment method for all fees incurred. If a payment fails, we will attempt to retry the charge and notify you. Repeated failed payments may result in suspension of the Service.
Refunds
Subscription fees are non-refundable except where required by law. If you cancel a monthly subscription, you retain access until the end of the current billing cycle. Annual subscriptions can be cancelled at any time, but no pro-rated refund will be issued for unused months unless a specific exception is agreed in writing.
Cancellations. You can cancel anytime from your billing dashboard. Cancelling stops future renewals — it does not end your current paid period.
Free trial
We offer a 30-day free trial of Gajee.co. No payment method is required to start a trial. At the end of the trial period, you may choose to subscribe to a paid plan. If you do not subscribe, your Account will be paused and access to paid features will be suspended, but your data will be retained according to the retention policy in our Privacy Policy.
Acceptable use
You agree to use the Service only for lawful business purposes and in compliance with these Terms. You agree not to:
- Use the Service in any way that violates Malaysian or applicable foreign law, including laws related to employment, taxation, data protection, and intellectual property.
- Upload, transmit, or store malicious code, viruses, or any content designed to disrupt or harm the Service or its users.
- Attempt to gain unauthorised access to the Service, other accounts, or related systems or networks.
- Reverse engineer, decompile, or otherwise attempt to derive the source code of the Service.
- Resell, sublicense, or commercially exploit the Service without our prior written consent.
- Use the Service to send spam, unsolicited marketing communications, or any content that is unlawful, harassing, defamatory, or otherwise objectionable.
- Interfere with or disrupt the integrity or performance of the Service, including through automated scraping or excessive API requests.
- Use the Service to process personal data of individuals without a lawful basis to do so.
We reserve the right to suspend or terminate Accounts that violate these acceptable use rules, with or without notice depending on the severity of the violation.
Customer data & ownership
Your data is yours
You retain all rights, title, and interest in and to your Customer Data. Gajee.co claims no ownership over any data you upload to the Service.
Licence to operate the Service
You grant Gajee.co a worldwide, non-exclusive, royalty-free licence to host, store, process, and display Customer Data solely as necessary to provide the Service to you. This licence terminates when you delete the data or close your Account, subject to legal retention requirements described in our Privacy Policy.
Your responsibility
You are solely responsible for the accuracy, legality, and integrity of all Customer Data. You represent that you have all necessary rights and consents to upload Customer Data to the Service, including data relating to your employees.
Payroll, tax & statutory calculations
Payroll, tax and statutory figures produced by the Service (including EPF, SOCSO, EIS, PCB/MTD and HRDF) are generated automatically based on the information you and your Authorised Users provide. The accuracy of these outputs depends entirely on the accuracy and completeness of that information. The Customer (employer) remains solely responsible for reviewing and verifying all payroll, tax, EPF, SOCSO, EIS and other statutory calculations and submissions for correctness and legal compliance before submitting them to, or relying on them with, any employee or relevant authority (including LHDN, KWSP, PERKESO and HRDC). Gajee.co is a software tool and does not provide accounting, tax, legal or payroll advice.
Data export
You may export your Customer Data at any time during your subscription through the in-app export tools (CSV/XLSX). For 90 days after Account closure, you may request a complete data export by contacting support@gajee.co.
Intellectual property
The Service, including all software, designs, logos, text, graphics, and other content (excluding Customer Data), is owned by Gajee.co or its licensors and is protected by Malaysian and international copyright, trademark, and other intellectual property laws.
Subject to your compliance with these Terms, Gajee.co grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your internal business purposes during the term of your subscription.
"Gajee.co", the Gajee.co logo, and other Gajee.co marks are trademarks of Gajee.co. You may not use these marks without our prior written permission, except to identify your use of the Service.
Third-party services
The Service may integrate with third-party services such as Telegram, email providers, and payment processors. Your use of these third-party services is governed by their own terms and privacy policies, not these Terms.
Gajee.co is not responsible for the availability, accuracy, or content of third-party services, and integrations may change or be discontinued at any time. We will give reasonable notice where possible.
Service availability
We strive to maintain a Service uptime of 99.9% or higher, measured monthly. Enterprise customers may receive additional uptime commitments under a separate Service Level Agreement (SLA).
From time to time, we may need to perform scheduled maintenance, which we will announce in advance through the Service or via email. We may also need to perform emergency maintenance with limited notice to address security or stability issues.
Gajee.co is not liable for downtime caused by factors outside our reasonable control, including internet outages, force majeure events, or third-party service failures.
Warranties & disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement, except where prohibited by Malaysian law.
While we work hard to keep the Service accurate and reliable, Gajee.co does not warrant that:
- The Service will meet all of your specific requirements.
- The Service will be uninterrupted, timely, secure, or error-free.
- All errors or defects will be corrected.
- Statutory calculations (EPF, SOCSO, EIS, PCB, HRDF) are guaranteed accurate without your verification. You remain responsible for verifying statutory submissions with the relevant Malaysian authorities (LHDN, KWSP, PERKESO, HRDC).
Limitation of liability
To the maximum extent permitted by Malaysian law, Gajee.co's total cumulative liability arising out of or relating to these Terms or the Service shall not exceed the greater of (a) the fees paid by you to Gajee.co in the 12 months preceding the event giving rise to the claim, or (b) MYR 5,000.
In no event shall Gajee.co be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunity, or goodwill, even if advised of the possibility of such damages.
Nothing in these Terms limits liability for fraud, wilful misconduct, gross negligence, or any liability that cannot be excluded under Malaysian law.
Termination
Termination by you
You may cancel your subscription at any time through your billing dashboard or by contacting support@gajee.co. Cancellation takes effect at the end of your current billing period.
Termination by us
We may suspend or terminate your access to the Service immediately, with or without notice, if:
- You materially breach these Terms.
- Payment is overdue by more than 30 days.
- Your use of the Service poses a security risk to the Service, our other customers, or any third party.
- We are required to do so by law or court order.
Effect of termination
Upon termination, your right to access the Service ceases. You may export your Customer Data for up to 90 days after termination. After that period, we may delete your Customer Data in accordance with our retention policies. Provisions of these Terms that by their nature should survive termination (including intellectual property, limitation of liability, and governing law) will survive.
Governing law
These Terms are governed by and construed in accordance with the laws of Malaysia. Any dispute arising out of or in connection with these Terms shall be submitted to the exclusive jurisdiction of the courts of Malaysia.
Changes to these terms
We may update these Terms from time to time. For material changes, we will provide at least 30 days' notice by email (for registered users) or through a prominent notice on our website. Your continued use of the Service after the changes take effect constitutes your acceptance of the new Terms. If you do not agree to the new Terms, you may cancel your subscription.
